TASKERLY LIMITED – TERMS AND CONDITIONS OF USE

These Terms and Conditions (“Terms”) govern access to and use of the Taskerly Limited platform, including any website, mobile application, USSD, APIs, customer support channels, and related services (collectively, the “Platform”). By creating an account, browsing, or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. PARTIES, PLATFORM ROLE, AND LEGAL NATURE OF TASKERLY
1.1 Taskerly Limited (“Taskerly”, “we”, “us”, “our”) operates a technology marketplace that connects (a) individuals or businesses seeking services (“Clients/End Users”) with (b) independent third-party service providers (“Service Providers”).
1.2 Taskerly is not a service provider. Taskerly does not perform, supervise, manage, or control the services delivered by Service Providers, and does not guarantee outcomes, quality, safety, legality, suitability, or timeliness of any service.
1.3 Service Providers are independent contractors and are not employees, agents, partners, or representatives of Taskerly. No employment, agency, partnership, or joint venture relationship is created between Taskerly and any user.
2. DEFINITIONS
A request posted by a Client and accepted by a Service Provider through the Platform.
Amounts payable for a Job (including any platform fees, cancellation fees, or applicable taxes).
The stage at which a Client confirms service completion on the Platform, or the Platform deems completion based on objective criteria.
Any attempt to bypass the Platform for negotiation, contracting, payment, or performance.
3. ELIGIBILITY, ACCOUNT CREATION, AND USER OBLIGATIONS
3.1 You must be at least 18 years old and legally capable of entering a binding contract under Nigerian law.
3.2 You agree to provide accurate, complete, and current information and keep it updated.
3.3 You are responsible for all activities under your account and for safeguarding login credentials.
3.4 Taskerly may suspend, restrict, or terminate access where information is false, misleading, incomplete, or where continued access may expose Taskerly or users to risk.
4. IDENTITY & FINANCIAL VERIFICATION (KYC)
4.1 To protect users & reduce fraud, we may conduct verification checks.
4.2 NIN Verification
NIN may be requested for identity verification as per regulatory requirements.
4.3 BVN Verification
BVN may be requested solely for bank account validation to reduce payment fraud.
4.4 Authorization: You authorize Taskerly to carry out these checks via third-party providers and store outcomes for compliance.
4.5 Consequences: Refusal or failure of verification may result in feature limitation (posting/accepting jobs, payouts) or termination.
5. PLATFORM RULES, PROHIBITED USES, AND USER CONDUCT
5.1 You shall not use the Platform to:
Engage in illegal, fraudulent, or harmful conduct
Request/offer services involving illegal goods/services
Harass, threaten, or discriminate against users
Post false job scopes or impersonate others
Tamper with ratings or solicit fake reviews
Upload malware or scrape platform data
Perform services requiring licences you do not hold
6. BOOKINGS, SCOPE DEFINITION, AND JOB EXTENT
Client Duties
Describe scope accurately, including location, deliverables, and hazards. Upload supporting evidence.
Service Provider Duties
Review scope details before accepting and request clarifications through the Platform.
Scope Changes
Material changes must be documented within the Platform and agreed by both parties.
7. PRICING, RENEGOTIATION, AND OFFLINE NEGOTIATIONS
7.1 Governing Fees: Fees shown on the Platform govern the Job.
Prohibition of Offline Activity
7.3 Offline negotiations are prohibited. Any attempt to renegotiate, contract, or pay outside the Platform is prohibited.
7.4 Remedial Actions: Taskerly may reduce visibility, forfeit incentives, suspend accounts, and/or withhold payouts for off-platform engagement.
8. PAYMENTS, ESCROW, AND FINAL PAYOUT
No Advance Payments
8.1 Escrow Protection: Taskerly will not release payment to a Service Provider until Completion is confirmed.
8.2 Holding: Client payments are held by Taskerly/partners pending confirmation.
8.3 In case of failure to confirm, Taskerly may deem completion based on objective evidence (logs, proof, messages).
9. CANCELLATION POLICY
Client Cancellations
10% Charge
Applies to total service fee unless due to verified provider non-performance.
Provider Cancellations
Sanctions Apply
Repeated cancellations result in reduced visibility and termination after 10 instances.
10. REFUND POLICY
10.2 Approved Refunds: Generally between 30% & 50% of the service fee, except where law requires otherwise.
Non-refundable Items:
- Platform fees & Verification fees
- Third-party processing fees
- Costs already incurred and disclosed at payment stage
11. QUALITY, SATISFACTION, AND REWORK
Taskerly facilitates resolution but does not guarantee rework. Clients must report issues within the stated timeframe with supporting evidence.
12. RATINGS, REVIEWS, TIPS, AND VISIBILITY
Ratings and metrics directly affect Service Provider visibility. Tips are permitted through the platform and are optional.
13. SAFETY, ILLEGAL CONDUCT, AND EMERGENCIES
Emergency Disclaimer:
Taskerly is not an emergency service. In emergencies, contact appropriate local services immediately.
14. INTELLECTUAL PROPERTY
Taskerly owns the platform content. Users grant a royalty-free license for Taskerly to use posted content for platform operations and marketing.
15. DISCLAIMERS
The Platform is provided “as is” and “as available”. Taskerly disclaims warranties of merchantability, fitness for a particular purpose, and availability.
16. LIMITATION OF LIABILITY
16.1 Taskerly shall not be liable for user misconduct, personal injury, property damage, or loss of profits arising from a Job.
Liability Cap
Taskerly's aggregate liability is limited to the total platform fees received for the specific Job in question.
17. INDEMNITY
You agree to indemnify Taskerly from any claims, losses, or expenses arising from your breach of Terms, violation of law, or disputes with other users.
19. SUSPENSION AND TERMINATION
Taskerly may suspend or terminate accounts for breach, fraud, risk, or safety concerns. Liability for outstanding fees remains after termination.
20. CHANGES TO TERMS
Taskerly reserves the right to amend these Terms at any time by posting a revised version on the Platform. The updated version will be indicated by a revised “Last Updated” date. Your continued use of the Platform following the posting of changes constitutes your acceptance of such changes.
21. GOVERNING LAW
These Terms are governed by the laws of the Federal Republic of Nigeria.
